TERMS OF SERVICE AGREEMENT

 

1         In General

1.1     All orders placed with the Company are subject to these Terms and Conditions and may, at any time and from time to time, vary or alter these Terms and Conditions. Any such variation to these Terms and Conditions will apply upon notification by Inspection Helper to the Customer.

1.2      Inspection Helper (“www.inspectionhelper.com.au”) owns and operate this Website. This document governs your relationship with Inspection Helper located at www.inspectionhelper.com.au. Access to and use of this Website and the products and services available through this Website (collectively, the "Services") are subject to the following terms, conditions and notices (the "Terms of Service"). By using the Services, you are agreeing to all of the Terms of Service, as may be updated by us from time to time. These Terms and Conditions will apply notwithstanding any provisions to the contrary which may appear on any order form or other document issued by any Customer.

1.3       You should check this page regularly to take notice of any changes we may have made to the Terms of Service.

1.4        Access to this Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services without notice. We will not be liable if for any reason this Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of this Website.

1.5        Use of the Website is at your own risk. Information on the Website is of a general nature and it is not intended as advice. You should seek independent advice and make your own enquiries in relation to any information or reports obtained from the Website.

1.6        This Website may contain links to other websites (the "Linked Sites"), which are not operated by Inspection Helper. www.inspectionhelper.com.au  has no control over the Linked Sites or the vendors who supply the inspection reports and accepts no responsibility for them or for any loss or damage that may arise from your use of them. Your use of the Linked Sites and inspection reports will be subject to the terms of use and service contained within each such site as well as the terms and conditions on the inspection report.

1.8         Inspection Helper cannot be held Liable for Inspection Reports contents, Supply/Non Supply of downloads paid for on the website.

1.9         Transactions are sent directly to the supplier of the reports (Third Party) You as a Purchaser are purchasing the product/s, (reports) directly from the supplier of the report.

1.10        Inspection Helper makes no warranty that the website contents and format will remain in their current state or condition, and the Inspection Helper reserves the right to change any and all aspects of the website at any time and without further notice to the Inspection Company.

1.11        If a Customer cancels an Order at any time after Inspection Helper  has received the Order, then the Inspection Helper reserves the right to charge to the Customer the cost of the Report pursuant to the Order.

1.12       Where the Customer is made up of more than one person, the liability of those Customers under these Terms and Conditions will be joint and several.

1.13        All downloadable reports have not been verified or checked by inspection Helper. The reports are the sole responsibility concerning the accuracy within the report of the supplier of the report. Inspection Helper cannot be held Liable for what is written within the report.

 

2          Definitions

“Customer”, “you” and “your” means you as the customer making an Order.

“Inspection Company” means the inspection company who will provide the Report purchased by the Customer.

“On-Sale Period” means the period of 30 days including the date of the Report.

“Order” means an online request placed on the Website by a Customer for a Report.

“Report” means the report Ordered by the Customer in relation to a Report Ordered.

“Website” means the website known as https://inspectionhelper.com.au, and all components and parts thereof and any alternative website from time to time.

 

3             Accounts Re Customer/Purchases

3.1          The Customer must establish an online account with Inspection Helper.

3.2          To establish an account, the Customer must complete an application form, as set out on the website from time to time. If a Customer does not create an account prior to placing an order, the Customer agrees that an account will be established at the time the Customer places an Order, utilising the details provided by the Customer when making the Order.

3.3          Inspection Helper reserves the right to terminate the Customer’s account at any time.

3.4         If the Customer fails to make payment in accordance with the terms  and conditions the inspection report will not become available to download.

 

4             Accounts Re Vendors/Suppliers

4.1          The Vendor/Supplier must establish an online account with Inspection Helper.

4.2          To establish an account, the Vendor/Supplier must complete an application form, as set out on the website from time to time. If a Vendor/Supplier does not create an account the supplier of reports will not be able to access certain areas of the site until such times as all details have been completed.

 The Supplier/Vendor agrees that once an account has been created the details provided in the account will be used for payment and billing purposes by Inspection Helper.

4.3          Inspection Helper reserves the right to terminate the Customer’s account at any time.

4.4          If the Vendor/Supplier fails to make payment in accordance with the terms of clause , Inspection Helper  will be entitled to cancel the Vendors/suppliers account until such times as monies owed are paid in full.

 

5  Pricing

5.1          Prices, services and Reports are valid only at the time of viewing, and for a maximum 30 days after which prices, may vary depending on the age of the report

5.2          Unless otherwise stated, all prices quoted are GST inclusive.

5.3          The Inspection Helper may at any time change its price list.

5.4          The Customer agrees that additional costs may be incurred and payable by the Customer if incorrect property details are provided by the customer when ordering the report, or in exceptional circumstances, Further additional costs are incurred by the Inspection Company in preparing the report.

 

6             Orders

6.2          The Customer may purchase a Report on behalf of another; however, if an order is made on behalf of another:

6.2.1       The Customer agrees that they remain fully responsible for payment;

6.2.2       The Customer must provide the details of the person who the Report is being purchased for to meet  our legal obligations including but not limited to insurance requirements;

6.2.3       The Customer acknowledges and agrees that the Order is made as between the Customer and the Inspection Company and Inspection Helper will not bear any liability to any third party who relies on the report.

6.3.4        The Inspection Company reserves the right to accept or reject Orders placed by the Customer.  The relevant Inspection Company will communicate any non acceptance of an Order to the Customer within a reasonable time after receipt of the Order by the Company. At the time of acceptance, Payment will be processed and if already processed refunded within 30 days

6.3.5       Upon receiving your order, we carry out a standard authorization check on your payment card to ensure there are sufficient funds to fulfil the transaction. Your card will be debited upon authorisation being received. The monies received upon the debiting of your card shall be treated as a deposit against the value of the goods you wish to purchase. An email of goods you have purchased as listed in the confirmation email.

6.3.6       At the time of the sale of reports The price of the report/s will be divided between the parties with the Supplier receiving the following proportion: 89.9% and inspection Helper 10.1%

6.3.7       Payment for any reports will be made to Inspection Helper. Inspection Helper will then credit the amount directly into the Suppliers/Vendors account minus Inspection Helpers commission and costs

 

**Note   The Payment Gateway may hold all or part of the funds for a certain period of time, this time varies and is out of the control of Inspection Helper .

 

7             Delivery & Inspection

7.1          The Customer is responsible for ensuring The correct details have been supplied in the account profile, This information is used for part of the report.

7.2          Any date or time quoted by the  inspection Company to the customer via the call now feature from the website is an estimate only the Company will endeavour to meet that estimate, but failure to do so will not confer on the Customer any right of cancellation on the Customer’s part or render the inspection company or Inspection Helper liable for any loss or damages directly or indirectly sustained by the Customer as a result thereof.

7.3          Inspection Helpers obligation to deliver will be discharged upon the Report   being downloaded or emailed to the Customer’s email address, as nominated in the Customer’s account.

7.4          Whilst we try and ensure that all details, descriptions and prices which appear on this Website are accurate, errors may occur. If we discover an error in the price of any goods which you have ordered we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled.

7.62          If any part of an invoice is in dispute the balance will remain payable.  The Customer will have no right to set-off any claim against the Company from moneys owing to the Company.

 

8             Refund Policy

Refunds will only be made in the event that:

8.1          A Report is provided which is not a report for the Property requested;

8.2          The Report is not provided due to unreasonable delay, as a result of the delay of the Inspection Company, and the Customer has cancelled their order on that basis;

8.3          If the Report is not for the correct Property, as requested by the Customer; or

8.4          A Report is provided which has a date of inspection more than 30 days before the date of Order by the Customer.

For the purposes of clarity, a refund will not be provided if the Customer provided incorrect property details to the Company, or if the Customer failed to ensure that access to the property would be available for the Inspection Company.

 

9            Dispute Resolution.

9.1        In the event of a dispute or a claim arising out of, or relating to the Report, these terms and conditions or any alleged negligent act, error or omission on the part of an Inspection Company or on the part of the inspector conducting the inspection, either party may give written notice of the dispute or claim to the other party.

9.2         If the dispute is not resolved within fourteen (14) days from the service of the written notice then either party may refer the dispute or claim to an independent mediator agreed between the parties which, failing agreement between the parties, either party may request the president of the New South Wales Law Society to appoint such Mediator. The cost shall be met equally by both parties or as agreed as part of the mediation settlement. Should the dispute or claim not be resolved by mediation then one or other of the parties may refer the dispute or claim to Arbitration and request the president of the New South Wales Law Society to appoint an Arbitrator who will resolve the dispute by arbitration

9.3  Complaints

9.3.1      We operate a complaint handling procedure which we will use to try to resolve disputes when they first arise, please let us know if you have any complaints or comments. At admin@inspectionhelper.com.au

 

10.             Website

10.1        The Customer may use the Website, download content for its use solely in connection with obtaining Reports.  The Customer must not use the Website for any unlawful purpose or infringe in any manner, rights of the Company or any third party advertisers.

10.2        Inspection Helper retains all rights title and interest in the Website and all intellectual property contained therein, including but not limited to trademarks, logos, designs and layouts. The Customer may not change, copy, reproduce, republish, upload, post, transmit or distribute the content from this site in any way except if expressly authorized in writing by the Company

 

11            Linking to this Website

11.1  Inspection Helpers website provides links to other websites for your convenience and assistance. Please note that these websites may have different security and privacy policies. Compare Inspections do not accept any responsibility and/or liability for any information that you divulge to these websites and how those websites or the organisations that own and manage those websites collect, use or disclose your personal information or that of any person you provide on those sites.

11.2         You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. This Website must not be framed on any other site, nor may you create a link to any part of this Website other than the home page. Unless a request is made and authorised by inspection helper. We reserve the right to withdraw linking permission without notice.

 

12          Termination

If the Customer:

12.1           fails to comply with any of these Terms and Conditions; or

12.2           being a natural person or persons commits any act of bankruptcy, or being a corporation passes a resolution for winding up or liquidation (other than for the purpose of reorganisation or reconstruction), or enters into any composition or arrangement with creditors, or if a receiver, manager, receiver manager or administrator is appointed for any property or assets of the Customer or becomes liable to be wound up by reason of insolvency or if any petition is presented for its winding up, or if a Liquidator or Provisional Liquidator is appointed,

the Company may, in addition to exercising all or any of its rights against the Customer, suspend any further deliveries without in any way being liable to the Customer or any person claiming through the Customer and suspend or terminate the Customer’s access to the website.

 

13            Inspection Companies and Orders

13.1        Unless otherwise stated, the Inspection Companies whose Reports are sold on the Inspection Helper are independent contractors and are not agents of Inspection Helper.

13.2        If you place an Order with an Inspection Company on the Inspection Helper website, you enter into a contract directly with the Inspection Company and Inspection Helper is not a party to that contract or arrangement.

13.3        When placing an order, the Customer acknowledges and agrees that they have read the terms and conditions of the Inspection Company who will provide the Report, and any relevant Australian Standards which may apply.

13.4        The contract entered into between you and the Inspection Company will be in accordance with the Inspection Company’s terms and conditions.  If there are any inconsistencies or contradictions between the Inspection Companies terms and conditions and these Terms and Conditions, these Terms and Conditions will apply.

13.5        The Inspection Companies have warranted to Inspection Helper that they and their employees and contractors have the required skill, expertise, insurance and licences to provide the Reports; however, the Company does not provide nor make any representation or warranty to the Customer as to the skill, expertise, insurance licensing or competence of any Inspection Company nor does Inspection Helper provide any warranty or guarantee as to the adequacy, accuracy, or contents of any Report or information provided by any Inspection Company to a Customer.  The Customer acknowledges that it must make and rely on its own enquiries in this regard.

13.6        Inspection Helper expressly disclaims any liability for any loss and damage of any nature arising from the provision of any Report by any Inspection Company.

 

14            Property and Risk

14.1        Notwithstanding the delivery of Reports, title in any Report supplied will remain with the Inspection Company until the Customer has paid and discharged any and all indebtedness to the inspection Company on any account whatsoever.

14.2        Reports may not be sold or provided to any person other than the Customer who purchased the report from inspection helper website except  otherwise authorised or required to do so by law. For the avoidance of doubt, nothing in these Terms and Conditions prevent the Inspection Company or Inspection Helper selling the Report to any person.

14.3        The risk in any products supplied and/or installed will pass to the Customer upon delivery (actual or constructive) to the Customer.

14.4        To the extent permitted at law, the Company will not be liable to the Customer or any third party for liquidated damages in any form, any delay costs, consequential loss including (without limitation) any loss of profits, loss of revenue, loss of production, loss of business opportunity, loss of goodwill, loss of business reputation, economic loss or any indirect, remote and/or unforeseeable loss. The aggregate liability of the Company in damages (however arising) in respect of any act or omission of the Company’s in connection with its obligations under these Terms and Conditions will not exceed the amount of one hundred dollars (AUD$100), even if the Company has been advised by the Customer as to the possibility of such loss being incurred.

14.5        The Customer acknowledges and agrees that Inspection Helper shall not be liable for any loss or damage arising from any contract or dealing between any Customer and any Inspection Company or advertiser in any way connected to the Website.

14.6        In no circumstances will Inspection Helper be responsible or liable for the content of any Report or any content on the Website uploaded by anyone other than Inspection Helper.

 

15            Consumer Law

15.1        We are required to provide certain guarantees under the Australian Consumer Law. For the purposes of these guarantees the Reports are “Goods”:

15.2      Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. The term “major failure” has a defined meaning under the Australian Consumer Law.

15.3     No additional express warranty for defects or otherwise are provided by us. Consumers may rely upon their statutory rights and remedies under the Australian Consumer Law.

16            Circumstances beyond our control

16.1        The Company will not be liable for any failure or delay in supply where such failure or delay is wholly or partly due to any cause or circumstances whatsoever outside the reasonable control of Inspection Helper and their Staff, employees or representatives including, but not limited to war, strikes, lockouts, industrial disputes or unrest, government restrictions or intervention, transport delays, fire, act of God, breakdown of plant, shortage of supplies or labour, storms or tempest, vandalism or riot, civil commotions or accidents of any kind, or the actions or delays of the Inspection Company (each an “Event of Force Majeure”). Inspection Helpers obligations will be suspended until the Event of Force Majeure ceases to cause the failure or delay (as the case may be). The Customer will not be relieved of any obligation to make payment to the Company regardless of any party being affected by an Event of Force Majeure.

 

17            Governing Law & Jurisdiction

17.1        The Customer agrees that these Terms and Conditions will be construed according to the Laws of the State of New South Wales. The Customer consents to any proceedings being instituted and heard by any appropriate Court sitting in the State of New South Wales applying the Laws of New South Wales.

 

18.          Privacy

18.1   Inspection Helper is committed to protecting the privacy of any personal information a customer (‘you’) may provide to inspection helpers inspections whether online or in person. This privacy policy explains how we collect and use customer’s personal information, the security precautions we take, how customers can access their personal information and how customer’s can complain if they are of the view that their privacy has been breached.

18.2            Inspection Helper is committed to complying with applicable privacy laws, including the National Privacy Principles, we will take all reasonably available measures to protect their Customer’s privacy.

18.3            This policy does not apply to the practices of companies that Inspection Helper does not own or control or to people that Inspection Helper does not employ or manage.

18.4           In accordance with the National Privacy Principles (NPP) exacted under the Privacy Act 1988, the Customer has a right to access its personal information held by Inspection Helper. 19               personal information. (What is it)

19.1            Personal information Inspection Helper collects includes, but is not limited to, your name, address, email addresses and other contact details, transactions and reports that have been purchased,

19.2           If you provide information to Inspection Helper about another person then you are responsible for making that individual aware that you have disclosed their personal information to Inspection Helper and that Inspection Helper can use their information as set out in this policy. Please direct them to this policy.

 

19.3           Any personal information is provided to Inspection Helper of your own volition and will only be used by Inspection Helper in accordance with this policy and terms and conditions

19.4            Can i choose not to provide personal information?

19.5           You may choose not to provide your personal information.  If you choose not to give Inspection Helper the personal and required information requested Inspection Helper will not be able to allow you to purchase, view, or  sell your reports (i.e Vendor/supplier) or complete any transactions

19.6           The personal information you provide may be used for the following purposes:

19.7           Your personal and business  information is used to verify your identity to access, purchase and sell reports and to create and maintain an account in your name.

19.8           The information supplied on your profile or dashboard will be used to process any purchase or payment or to recover any payment due (this includes establishing and maintaining necessary accounts, records and/or billing systems);

19.9           for statistical analysis and marketing purposes. You will not be sent marketing material unless you opt in to that service. You are entitled to opt out at any time.

 

20           Disclosure Inspection Helper to Third Parties

20.1           You acknowledge and agree that the information you provide Inspection Helper may be passed on to third parties. This transfer of information will only occur when it is necessary for the purpose of completing a transaction , Or to meet regulatory reporting, insurance and compliance requirements; and for internal accounting and administration. These companies may not have policies protecting the privacy of personal information.  Inspection Helper will always take steps to ensure that your information is used by third parties in accordance with our privacy policy.

 

21         Rights to Information Supplied to Inspection Helper

21.1         You have the right to review the information that may be recorded by Inspection Helper . Information may be reviewed by contacting via email at admin@inspectionhelper.com.au

 

22         Changing and deleting your information

22.1         Information contained on the database may be amended by contacting Inspection Helper at any time via email at admin@inspectionhelper.com.au, . You may also make a request to delete personal information and all reasonable steps to delete the information will be made, except where the information must be retained for legal reasons. Deletion of information may result Inspection Helper being unable to provide services to you unless the information is re-provided. Previous account dealings, purchases and downloads register may also be affected dealings with inspection helper

 

23          Storage and security

23.1         Inspection Helper  will hold any personal information you provide Compare Inspections for a reasonable period for the purposes outlined above.

23.2         Inspection Helpers  IT systems are protected in accordance with relevant industry best practises which include access via password protection, firewalling and encrypted administrative communications. Inspection Helper will take all reasonable steps to ensure that the personal information you provide to us is protected against loss or misuse. However Inspection Helper cannot guarantee the security of any personal information accordingly any personal information you provide to Compare Inspections is provided at your own risk.

 

24        Terms of Sale

24.1     By placing an order, you are offering to purchase a product on and subject to the following terms and conditions. All orders are subject to availability and confirmation of the order price.

24.2     Dispatch times may vary according to availability and subject to any delays resulting from postal delays or force majeure for which we will not be responsible. Inspection Helper relies on the goodwill of the supplier of the inspection report and as such cannot be held liable for anything contained in the report, or the delivery of the report.

***NOTE:  Inspection Helper Strongly recommends a current Inspection on any item you are about to purchase, a report is only available for a maximum of 1 month (30 days) after this time it is essential that a new report be requested (links are available for inspectors in your area).                                   

24.3       In order to use the website www.inspectionhelper.com.au you must be over 18 years of age and possess a valid credit or debit card issued by a bank acceptable to us or current Australian financial banking institution, that can be verified.  www.inspectionhelper.com.au  retains the right to refuse any request made by you. If your order is accepted, we will inform you by email and we will confirm the identity of the party which you have contracted with. This will usually be www.inspectionhelper.com.au via email or may in some cases be a third party. Where a contract is made with a third-party Inspection helper is not acting as either agent or principal and the contract is made between yourself and that third party and will be subject to the terms of sale which they supply you. When placing an order, you undertake that all details you provide to us and the Agent of the Supplier of the report are true and accurate, that you are an authorized user of the credit or debit card used to place your order and that there are sufficient funds to cover the cost of the goods. The cost of all products and services may fluctuate. All prices advertised are subject to such changes.

 

25          Our Contract

25.1       When you place an order, you will receive an acknowledgement e-mail confirming receipt of your order: this email will only be an acknowledgement and will not constitute acceptance of your order. A contract between the third party will not be formed until a sent confirmation by e-mail that the goods which you ordered have been dispatched to you. Only those goods listed in the confirmation e-mail sent at the time of Purchase will be included in the contract formed.

 

26        Disclaimer of Liability

26.1     The material displayed on this Website is provided without any guarantees, conditions or warranties as to its accuracy. Unless expressly stated to the contrary to the fullest extent permitted by law www.inspectionhelper.com.au and its suppliers, content providers and advertisers hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity and shall not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, performance or failures of this Website or the Linked Sites and any materials posted thereon, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise. This does not affect Inspection Helpers liability for death or personal injury arising from its negligence, fraudulent misrepresentation, misrepresentation as to a fundamental matter or any other liability which cannot be excluded or limited under applicable law.

 

27         PRODUCTS

27.1     Terms of Offer. This Website offers for sale certain products (the "Products"). By placing an order for Products through this Website, you agree to the terms set forth in this Agreement.

27.2     Customer Solicitation: Unless you notify our third-party call centre reps or direct Inspection Helper sales reps, while they are calling you, of your desire to opt out from further direct company communications and solicitations, you are agreeing to continue to receive further emails and call solicitations Inspection Helper and its designated in house or third-party call team(s).  

27.3     Opt Out Procedure: We provide 3 easy ways to opt out of from future solicitations. 1. You may use the opt out link found in any email solicitation that you may receive. 2. You may also choose to opt out, via sending your email address to: admin@inspectionhalper.com.au

27.4     Proprietary Rights. Inspection Helper has proprietary rights and trade secrets in the Products. You may not copy, reproduce, resell or redistribute any Product manufactured and/or distributed by Inspection Helper. Inspection Helper also has rights to all trademarks and trade dress and specific layouts of this webpage, including calls to action, text placement, images and other information.

27.5     Sales Tax. If you purchase any Products, you will be responsible for paying any applicable sales tax.

 

28        Disclaimer as to ownership of trade marks, images of personalities and third-party copyright Intellectual Property, Software and Content

28.1    Except where expressly stated to the contrary all persons (including their names and images), third party trademarks and content, services and/or locations featured on this Website are in no way associated, linked or affiliated with www.inspectionhelper.com.au and you should not rely on the existence of such a connection or affiliation. Any trade marks/names featured on this Website are owned by the respective trade mark owners. Where a trade mark or brand name is referred to it is used solely to describe or identify the products and services and is in no way an assertion that such products or services are endorsed by or connected to www.inspectionhelper.com.au.

 

29        Indemnity

29.1     You agree to indemnify, defend and hold harmless www.inspectionhelper.com.au, its directors, officers, employees, consultants, agents, and affiliates, from any and all third-party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from your use this Website or your breach of the Terms of Service.

 

30       Limitations of liability

30.1    You must not misuse this Website. You will not: commit or encourage a criminal offense; transmit or distribute a virus, trojan, worm, logic bomb or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene; hack into any aspect of the Service; corrupt data; cause annoyance to other users; infringe upon the rights of any other person's proprietary rights; send any unsolicited advertising or promotional material, commonly referred to as "spam"; or attempt to affect the performance or functionality of any computer facilities of or accessed through this Website.
